Terms & Conditions                  “Vision Birthday Competition” 1. General  The following terms and conditions (“Terms”) govern the rules for participating in the promotion “Vision Birthday Competition“ (“Promotion”) of Bitpanda GmbH, with registered office in Stella-Klein-Löw-Weg 17, A-1020 Vienna (“Bitpanda”) and the resulting legal relationship between Bitpanda and Bitpanda Clients participating in the Promotion (“Participant” as defined in Section 3 or “you”). Please be advised, participating in the Promotion shall constitute your unconditional acceptance to be bound by any and all of the terms of these Terms. Bitpanda terms already agreed to, in particular the Bitpanda User Agreement, E-Token Terms, Staking Terms and Bitpanda Fusion Terms (as applicable) in its current versions, apply.  Any language version is a referential translation of the original English version of these Terms. In the case of any discrepancy, the English version shall prevail. By participating in the Promotion, you represent and warrant you meet the eligibility requirements below and acknowledge that failure to meet all eligibility requirements will result in your disqualification.  Disclaimer:  Investing in crypto-assets involves risks, including high volatility, the potential loss of capital and cybersecurity. Regulated crypto-asset services are provided by Bitpanda GmbH (FN 569240v), Stella-Klein-Löw-Weg 17, AT-1020 Vienna, a crypto-asset service provider authorised by the Austrian Financial Market Authority (FMA) in accordance with Regulation (EU) 2023/1114 (MiCAR). Earn through Bitpanda Staking allows you to participate in transaction validation on Proof of Stake blockchains which you will be rewarded for. Staking involves risks including no guarantee of rewards, potential loss from slashing or hacks, and depreciation in the value of assets while staked. Staking of crypto-assets is not classified as a regulated crypto-asset service under MiCAR. Staking through Bitpanda GmbH and Bitpanda Asset Management GmbH involves the use of crypto-assets already held under our regulated custody and administration service and remains subject to MiCAR obligations, including safeguarding and return of assets. The offeror of the crypto-asset is solely responsible for the content of this crypto-asset marketing communication. 2. Duration  This Promotion will begin on July 16th, 2026, 00:00 (CEST) and end on July 30th, 2026, 23:59 (CEST) (“Promotion Period”). Bitpanda reserves the right to change or end the Promotion at any time. 3. Eligibility and Entry:  Unless otherwise specified, entry is open to fully verified and registered Bitpanda Clients (the “Participants”, and each a “Participant”) who: (a) meet all the requirements described in these Terms,  (b) are not residents of a country or territory where the Promotion is not available*, (c) select a unique Alias** (the "Alias") via In-App Stories or the designated registration form during the Promotion Period, the Alias must be non-violent, non-offensive, and otherwise appropriate at Bitpanda's sole discretion, and failure to comply with this requirement may result in disqualification from the Promotion, (d) during the Promotion Period, buy VSN on Bitpanda or Bitpanda Fusion platform***, (e) during the Promotion Period, stake VSN on Bitpanda for the duration of the promotion***,  (f) expressly acknowledge and agree that their chosen alias and their qualified trading volume for the purpose of this Promotion may be publicly displayed on Bitpanda campaign landing page and Bitpanda in-app Story, and (g) accept these Terms.  Only new purchases of VSN that are subsequently staked during the Promotion Period will count towards the leaderboard. For the avoidance of doubt, both conditions must be met: VSN must be newly purchased and staked. VSN that is only purchased but not staked, or staked without a corresponding new purchase, will not count. Selling VSN and subsequently repurchasing VSN will not increase a participant’s eligible leaderboard amount. Examples: If a participant purchases €0 worth of VSN and stakes €50,000 worth of VSN, their leaderboard amount is €0.If a participant purchases €50,000 worth of VSN and stakes €0 worth of VSN, their leaderboard amount is €0.If a participant purchases €50,000 worth of VSN and stakes €50,000 worth of VSN, their leaderboard amount is €50,000. New Bitpanda users will be required to sign up and register, complete the identity verification process and deposit funds into a new Bitpanda account in order to participate. The following natural or legal persons are not eligible to enter the Promotion:  (a) persons performing market-making services or any similar services as well as institutional customers; (b) Bitpanda Enterprise users; (c) employees and the immediate family members of such employees of Bitpanda or its affiliated companies, parent companies, subsidiaries, participating promotional partners, advertising agencies, and any company involved in the creation, production, or fulfilment of the Promotion. *Please note that - due to regulatory requirements - the Promotion is not available to users in certain restricted jurisdictions (Bitpanda Clients with residence in the United Kingdom). This communication is not intended for users/countries where restrictions apply. **Failure to select an Alias within the Promotion Period will result in no entries being granted, even if the Participant has otherwise met the eligibility requirements and/or completed qualifying trades. ***Any VSN purchased and/or staked by the Participant prior to participating in this Promotion or outside of Bitpanda will not be taken into account and will not count towards the calculations. Opening and closing Bitpanda Leverage positions (L-Token), Margin Trading, Earn on Stablecoins (excluding, for the avoidance of doubt, Earn through Staking), Bitpanda Metals (M-Token), Stocks/ETFs/ETCs, Bitpanda Crypto Indices and Bitpanda Cash Plus are excluded from this Promotion and will not be taken into account. 4. Rewards, Winner Selection and Notification After the Promotion Period has ended, thirty-three (33) Participants, who, during the Promotion Period, (i) meet the eligibility criteria outlined in Section 3 and (ii) were not, for whatever reason, disqualified by Bitpanda, will be selected to get a reward (“Reward”, and collectively the “Rewards”) based on the trade volume at the end of the Promotion Period, being 1st August, 2026, 00:00 (CEST), and with the criteria set out below: Ranked Rewards (Positions 1–10) The following Rewards will be awarded to the ten (10) Participants with the highest total trade volume during the Promotion Period, as determined by final ranking on the public leaderboard (each, a “Top 10 Participant”). 1st place: EUR 12,000 in EURCV2nd place: EUR 7,000 in EURCV3rd place: EUR 4,000 in EURCV4th - 5th place: EUR 2,500 in EURCV6th - 10th place: EUR 1,200 in EURCV In the event that two (2) or more Top Ten Participants achieve an identical total trade volume resulting in a tie for any Ranked Reward position, all tied Top Ten Participants will be awarded the Reward corresponding to that position. The subsequent ranking position(s) will be adjusted accordingly. For example, if two (2) Participants tie for 2nd place, both will receive the 2nd place Reward, and the next highest-ranked Top Ten Participant will be awarded 4th place, with no 3rd place Reward being awarded. Random Draw Rewards (Positions 11–100) Participants ranked between 11th and 100th place based on the total trade volume at the end of the Promotion Period, being 1st August, 2026, 00:00 (CEST), will be eligible for additional Rewards awarded through a random draw (the “Random Draw”). Positions 11 - 20: Eight (8) winners - EUR 800 in EURCVPositions 21 - 50: Six (6) winners - EUR 700 in EURCVPositions 51 - 100: Nine (9) winners - EUR 600 in EURCV The drawing will take place no later than 15th August, 2026. Participants awarded a Ranked Reward (Positions 1–10) and Participants selected as Winners in the Random Draw (Positions 11–100) are hereinafter each referred to as a "Top 100 Participant",  collectively as the "Top 100 Participants" and together with the Top 10 Participants, the “Winners”. For the avoidance of doubt, there will be a maximum of thirty-three (33) Winners in this Promotion. No substitution or cash equivalent of the relevant Rewards, or any portion thereof, is permitted. Only Bitpanda Clients who (i) meet all the requirements described in section 3 and (ii) were not, for whatever reason, disqualified by Bitpanda in accordance with section 5 are eligible.  Bitpanda will strive to transfer the respective Rewards to the Winners two weeks after the drawing takes place. The transfer may be delayed and Bitpanda shall not be liable for any losses arising out of or in connection with a late transfer. Bitpanda reserves the right to substitute a Reward, or any part thereof, with an item of equal or greater value if there are objective reasons to do so. The relevant Reward will be credited directly to the Winners’ respective Bitpanda Broker wallet by the respective Bitpanda entity offering the product.  Participants, who are declared Winners in accordance with this section will be notified accordingly via email to the email address they have stated in their Bitpanda Client Account. Bitpanda assumes no responsibility for undeliverable emails. All potential Winners are subject to verification by Bitpanda. 5. Disqualification Bitpanda reserves the right to disqualify a Participant it suspects or finds (i) to have tampered with the entry process or the operation of the Promotion, (ii) to be acting in collusion with other Participants aimed at manipulating or disrupting the Promotion, (iii) to be acting in violation of these Terms, (iv) or in breach of any other applicable terms and conditions of Bitpanda, its subsidiaries, or (v) to have provided inaccurate information. Disqualified Participants will not be entitled to become a Winner or win any other Reward under this Promotion. Any attempt by a Participant to deliberately undermine the legitimate operation of this Promotion is a violation of laws, and should such an attempt be made, Bitpanda reserves the right to seek damages from any such Bitpanda Client or individual.  Bitpanda is not responsible for the accuracy of the data you provide and may disqualify a participant if the email address of the Bitpanda Client is not valid. 6. Bitpanda’s liability To the extent permitted by law, in no event shall Bitpanda be liable for any direct or indirect loss arising out of or in connection with the Promotion.  Bitpanda reserves the right, without any prior notice or compensation to you, to suspend, cancel, postpone or modify the Promotion, at any time, for any reason whatsoever. You do not have any legal claim against Bitpanda arising out of or in connection with this Promotion. If, due to a technical, system, or human error, any assets, Rewards, or benefits are credited in error or in excess of the applicable Promotion, Bitpanda reserves the right to correct such error and reclaim, deduct, or reverse the affected assets. Affected Participants are not entitled to retain assets, Rewards or benefits granted in error. Bitpanda may take reasonable measures to resolve the issue. 7. Data protection and taxes All data processing at Bitpanda in relation to this Promotion is carried out on the basis of the contractual obligation and legitimate interest in accordance with Article 6 Paragraph 1 Letters b and f of the General Data Protection Regulation 2016/679 (“GDPR”) for the purpose of establishing the legal relationship with the participant and for the subsequent implementation and processing of the Promotion. Important: Your chosen Alias, outlined in Section 3, and trade volume will appear on the public leaderboard. Participants are solely responsible for any/all applicable taxes related to the Promotion. Participants should consult a tax advisor to determine tax implications in accepting any Reward. 8.
