Terms & Conditions “MBG Spotlight Competition” 1. General  The following terms and conditions (“Terms”) govern the rules for participating in the promotion “MBG Spotlight Competition“ (“Promotion”) of Bitpanda GmbH, with registered office in Stella-Klein-Löw-Weg 17, A-1020 Vienna (“Bitpanda”) and the resulting legal relationship between Bitpanda and Bitpanda Clients participating in the Promotion (“Participant” as defined in Section 3 or “you”). Please be advised, participating in the Promotion shall constitute your unconditional acceptance to be bound by any and all of the terms of these Terms. Bitpanda terms already agreed to, in particular the Bitpanda User Agreement and E-Token Terms in its current version apply.  Any language version is a referential translation of the original English version of these Terms. In the case of any discrepancy, the English version shall prevail. By participating in the Promotion, you represent and warrant you meet the eligibility requirements below and acknowledge that failure to meet all eligibility requirements will result in your disqualification.  Disclaimer:  Participation in this campaign must at all times comply with all applicable laws, regulations, and regulatory requirements, including, without limitation, Regulation (EU) 2023/1114 on Markets in Crypto-Assets (“MiCAR”) and any applicable market abuse, insider dealing, unlawful disclosure of inside information, and market manipulation prohibitions. The campaign is intended solely as a promotional initiative and must not be interpreted as encouraging, soliciting, or inducing any participant to engage in market abuse, manipulative trading behaviour, artificial trading activity, wash trading, insider dealing, or any conduct intended to create a false or misleading impression as to the supply, demand, or price of the relevant crypto-asset. Participants remain solely responsible for ensuring that any trading activity undertaken in connection with, or during the course of, the campaign is conducted for legitimate purposes and in full compliance with applicable legal and regulatory obligations. Any trading activity involving the use of inside information or any conduct constituting market manipulation under MiCAR or other applicable laws is strictly prohibited. For the avoidance of doubt, qualification mechanics based on trading activity, including the aggregation of purchases and sales of MBG for campaign ranking or reward purposes, do not alter or limit participants’ independent obligations to comply with all applicable market conduct rules. Bitpanda reserves the rights, at its sole discretion, to monitor trading activity associated with the campaign and to disqualify, suspend, or exclude any participant where there are reasonable grounds to suspect abusive, manipulative, fraudulent, or otherwise unlawful conduct, including conduct potentially constituting market abuse under MiCAR. Bitpanda may also take any additional action deemed necessary or appropriate where required by applicable law. Nothing in this campaign, including any reward structure, prize allocation, raffle mechanic, or promotional communication, shall be construed as investment advice, a recommendation, or an invitation to engage in unlawful trading activity. Crypto-asset services are provided by Bitpanda GmbH (FN 569240v), Stella-Klein-Löw-Weg 17, AT-1020 Vienna, a crypto-asset service provider authorised by the Austrian Financial Market Authority (FMA) in accordance with Regulation (EU) 2023/1114 (MiCAR). Crypto-asset services are provided by Bitpanda Asset Management GmbH in Germany. Bitpanda Asset Management GmbH is a company registered in the Federal Republic of Germany under commercial register number HRB 268842 B and is authorised by the Federal Financial Supervisory Authority (BaFin) (BaFin ID: 10159692) as a crypto-asset service provider in the Federal Republic of Germany in accordance with Regulation (EU) 2023/1114 (MiCAR). Bitpanda strongly recommends reading the crypto-asset white paper prepared in accordance with the MiCAR in full before making any investment decision. 2. Duration  This Promotion will begin on May 26th, 2026, 00:00 (CEST) and end on June 1st , 2026, 23:59 (CEST) (“Promotion Period”). Bitpanda reserves the right to change or end the Promotion at any time. 3. Eligibility and Entry:  Unless otherwise specified, entry is open to fully verified and registered Bitpanda Clients (the “Participants”, and each a “Participant”) who: (a) meet all the requirements described in these Terms,  (b) are not residents of a country or territory where the Promotion is not available*, (c) select a unique Alias** (the "Alias") via In-App Stories or the designated registration form during the Promotion Period, the Alias must be non-violent, non-offensive, and otherwise appropriate at Bitpanda's sole discretion, and failure to comply with this requirement may result in disqualification from the Promotion, (d) during the Promotion Period, execute qualifying purchase transactions in the Eligible Asset*** via the Bitpanda Broker**** (“Qualifying Transaction”). (e) expressly consent to, and acknowledge and agree that, their chosen Alias and their position may be publicly displayed on the Bitpanda campaign landing page and Bitpanda In-App Story in form of a leaderboard for the purposes of this Promotion; and (f) accept these Terms. New Bitpanda users will be required to sign up and register, complete the identity verification process and deposit funds into a new Bitpanda account in order to participate. The following natural or legal persons are not eligible to enter the Promotion:  (a) persons performing market-making services or any similar services as well as institutional customers; (b) Bitpanda Enterprise users; (c) employees and the immediate family members of such employees of Bitpanda or its affiliated companies, parent companies, subsidiaries, participating promotional partners, advertising agencies, and any company involved in the creation, production, or fulfillment of the Promotion. *Please note that - due to regulatory requirements - the Promotion is not available to users in certain restricted jurisdictions (Bitpanda Clients with residence in the United Kingdom). This communication is not intended for users/countries where restrictions apply. **Failure to opt in via In-App Stories or the designated registration form to select an Alias within the Promotion Period will result in no entries being granted, even if the Participant has otherwise met the eligibility requirements and/or completed qualifying trades. ***Unless otherwise specified in the present Terms, the “Eligible Asset” is the MBG-Token. ****Any volume generated by the Participant prior to participating in this Promotion or  outside of the Bitpanda Broker (transactions on Bitpanda Fusion) will not be taken into account and will not count towards purchase volume calculations. Swapping assets, opening and closing Bitpanda Leverage positions (L-Token), Margin Trading, M-Token, Stocks, Earn and investing in Bitpanda Crypto Indices or Bitpanda Cash Plus are excluded from this Promotion and will not be taken into account. 4. Rewards, Winner Selection and Notification After the Promotion Period has ended, ten (10) Participants, who, during the Promotion Period, (i) meet the eligibility criteria outlined in Section 3 and (ii) were not, for whatever reason, disqualified by Bitpanda, will be selected to get a Reward (“Reward” collectively “Rewards”) based on Qualifying Transaction volume during the Promotion Period. The following Rewards will be awarded to the ten (10) Participants with the highest Qualifying Transaction volume during the Promotion Period, as determined by final ranking on the public leaderboard. Position, Reward 1st Place, EUR 10,000 worth in MBG token;2nd Place, EUR 6,500  worth in MBG token;3rd Place, EUR 4,000  worth in MBG token;4th Place, EUR 2,500 worth in MBG token;5th Place, EUR 1,500  worth in MBG token;6th - 10th, EUR 1,100 worth in MBG token; In the event that two (2) or more Participants achieve an identical Qualifying Transaction volume resulting in a tie for any Reward position, all tied Participants will be awarded the Reward corresponding to that position. The subsequent ranking position(s) will be adjusted accordingly. For example, if two (2) Participants tie for 2nd Place, both will receive the 2nd Place Reward, and the next highest-ranked Participant will be awarded 4th Place, with no 3rd Place Reward being awarded. In addition to the Rewards, five (5) signed pairs of gloves by Khabib Nurmagomedov (each a "Bonus Prize", collectively the “Bonus Prizes”) will be awarded as part of the Promotion. Bonus Prizes are open to Participants who meet the eligibility criteria set out in Section 3 and who have not been disqualified by Bitpanda in accordance with Section 5, subject to the additional selection criteria set out below for each category. The five (5) Bonus Prizes will be distributed as follows: The Participant with the highest aggregate Qualifying Transaction volume during the Promotion Period receives 1 signed pair of gloves.The Participant maintaining the highest average holding balance of the Eligible Asset during the Promotion Period receives 1 signed pair of gloves.3 signed pairs of gloves are distributed via randomized draw among all Participants who have reached a minimum cumulative Qualifying Transaction volume of EUR 2,500 during the Promotion Period The drawing will take place two weeks after the end of the Promotion Period. For the avoidance of doubt, a Participant may win both a Reward and a Bonus Prize under this Section 4., provided the respective eligibility criteria are met. Only Participants who (i) meet all the requirements described in section 3 and (ii) were not, for whatever reason, disqualified by Bitpanda in accordance with section 5 are eligible to be selected as Winners (each referred to as a “Winner”, collectively the “Winners”) The relevant Reward will be credited directly to the Winners’ respective Bitpanda Broker wallet by the respective Bitpanda entity offering the product or, in the case of the Bonus Prizes, to an address provided by the Winner upon request. No substitution or cash equivalent of any Reward or Bonus Prize, or any portion thereof, is permitted unless Bitpanda exercises its right under this Section to substitute. The value of the MBG token is subject to change, and there can be a substantial risk that it could lose value (potentially all value) as a result of buying, selling, or holding the relevant Reward. Bitpanda will strive to transfer the Reward to the respective Participants two weeks after the Promotion Period ends. The transfer may be delayed and Bitpanda shall not be liable for any losses arising out of or in connection with a late transfer (e.g. losses due to price changes). Bitpanda reserves the right to substitute a Reward or Bonus Prize, or any part thereof, with an item of equal or greater value if there are objective reasons to do so. The Winners will be notified via email to the email address they have stated in their Bitpanda Client Account about the payout of the Rewards. Bitpanda assumes no responsibility for undeliverable emails. All Participants are subject to verification by Bitpanda. In the event a qualified Participant cannot be contacted or fails to respond for a period of one week from the notification or otherwise refuses the Reward or Bonus Prize, the relevant qualified Participant will be disqualified without further notice and an alternate Participant may be selected. 5. Disqualification Bitpanda reserves the right to disqualify a Participant it suspects or finds (i) to have tampered with the entry process or the operation of the Promotion, (ii) to be acting in collusion with other Participants aimed at manipulating or disrupting the Promotion, (iii) to be acting in violation of these Terms, (iv) or in breach of any other applicable terms and conditions of Bitpanda, its subsidiaries, or (v) to have provided inaccurate information. Disqualified Participants will not be entitled to become a Winner or win any other Reward or Bonus Prize under this Promotion. Any attempt by a Participant to deliberately undermine the legitimate operation of this Promotion is a violation of laws, and should such an attempt be made, Bitpanda reserves the right to seek damages from any such Bitpanda Client or individual.  Bitpanda is not responsible for the accuracy of the data you provide and may disqualify a participant if the email address of the Bitpanda Client is not valid. 6. Bitpanda’s Liability To the extent permitted by law, in no event shall Bitpanda be liable for any direct or indirect loss arising out of or in connection with the Promotion.  Bitpanda reserves the right, without any prior notice or compensation to you, to suspend, cancel, postpone or modify the Promotion, at any time, for any reason whatsoever. You do not have any legal claim against Bitpanda arising out of or in connection with this Promotion. If, due to a technical, system, or human error, any assets, Rewards, or benefits are credited in error or in excess of the applicable Promotion, Bitpanda reserves the right to correct such error and reclaim, deduct, or reverse the affected assets. Affected Participants are not entitled to retain assets, Rewards or benefits granted in error. Bitpanda may take reasonable measures to resolve the issue. 7. Data Protection and Taxes All data processing at Bitpanda in relation to this Promotion is carried out on the basis of the contractual obligation and legitimate interest in accordance with Article 6 Paragraph 1 Letters b and f of the General Data Protection Regulation 2016/679 (“GDPR”) for the purpose of establishing the legal relationship with the participant and for the subsequent implementation and processing of the Promotion. Important: Your chosen Alias, outlined in Section 3, and your position will appear on the public leaderboard.
