General The following terms and conditions (“Terms”) govern the rules for participating in the promotion “BYA June” (“Promotion”) of Bitpanda GmbH, with registered office in Stella-Klein-Löw-Weg 17, A-1020 Vienna (“Bitpanda”) and the resulting legal relationship between Bitpanda and Bitpanda Clients participating in the Promotion (“Participant” as defined in Section 3 or “you”). Please be advised, participating in the Promotion shall constitute your unconditional acceptance to be bound by any and all of the terms of these Terms. Bitpanda terms already agreed to, in particular the Bitpanda User Agreement and E-Token Terms in their current versions apply. Any language version is a referential translation of the original English version of these Terms. In the case of any discrepancy, the English version shall prevail. By participating in the Promotion, you represent and warrant you meet the eligibility requirements below and acknowledge that failure to meet all eligibility requirements will result in your disqualification. Duration This Promotion will begin on June 18th, 2026, 00:00 (CEST) and end on July 31st, 2026, 23:59 (CEST) (“Promotion Period”). Bitpanda reserves the right to change or end the Promotion at any time. 3. Eligibility and Entry Entry is open to fully verified and registered Bitpanda Clients (“Participant” and each a “Participant”) who: meet all the requirements described in these Terms,are not resident in a country or territory where the Promotion is not available*,during the Promotion Period, transfer to the Participant’s Wallet on the Bitpanda Platform holdings of crypto-assets from an account held with a third-party crypto-asset exchange, broker, or custodian in the Participant’s name (each, a “Qualifying Transfer”), and for the avoidance of doubt, transfers from any platform operated by a Bitpanda Group entity (including Bitpanda Broker UK Limited and Bitpanda Asset Management GmbH) and transfers from self-hosted or private wallets will not be a Qualifying Transfer and will not qualify for this Promotion,do not initiate a Qualifying Transfer of crypto-assets from their Wallet in their Account to a wallet outside the Bitpanda Platform or to another platform within a period of 6 months following the end of the Promotion Period after the last Qualifying Transfer (the “Commitment Period”) (sale and withdrawal of legal tender are excluded), andaccept these Terms. The following natural or legal persons are not eligible to enter the Promotion: persons performing market-making services or any similar services as well as institutional customers;Bitpanda Enterprise users;employees and the immediate family members of such employees of Bitpanda or its affiliated companies, parent companies, subsidiaries, participating promotional partners, advertising agencies, and any company involved in the creation, production, or fulfillment of the Promotion. *Please note that - due to regulatory requirements - this Promotion is only available in following countries: Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Iceland, Ireland, Italy, Latvia, Liechtenstein, Lithuania, Luxembourg, Malta, Netherlands, Norway, Poland, Portugal, Romania, Slovakia, Slovenia, Spain, Sweden, Switzerland, Norway, Liechtenstein, Iceland and Switzerland. For clarification: Only the value of a participant’s first qualifying transfer completed during the promotion period will be taken into account when calculating the reward. New Bitpanda users will be required to sign up and register, complete the identity verification process and deposit funds into a new Bitpanda account in order to participate. 4. Rewards, Reward Recipient Selection and Notification All of the first 15,000 Participants who, during the Promotion Period, (i) meet the eligibility criteria outlined in Section 3, (ii) complete the Qualifying Transfer, and (iii) were not, for whatever reason, disqualified by Bitpanda, will receive a Reward equal to 5% of the aggregate EUR (or equivalent) value of the Qualifying Transfer, paid in EURCV stablecoin, made during the Promotion Period, up to a maximum Qualifying Transfer value of EUR 20,000 (or, where the relevant currency is not EUR, the approximately equivalent amount in the applicable local currency, as determined by Bitpanda at the relevant time), resulting in a maximum Reward of EUR 1,000 in EURCV per Participant (each a “Reward” and together the “Rewards”). VIP customers who complete a Qualifying Transfer exceeding €100,000 shall be eligible for a Reward capped at €5,000. All other eligibility requirements, limitations, and Terms and Conditions shall remain unchanged and continue to apply. For example, a Reward Recipient whose Qualifying Transfer equalled EUR 20,000 (or, where the relevant currency is not EUR, the approximately equivalent amount in the applicable local currency, as determined by Bitpanda at the relevant time) will receive EUR 1,000 worth of EURCV which will be credited to the Reward Recipient’s Wallet in the Reward Recipient’s Account on the Bitpanda Platform. The value of crypto-assets is subject to change, and there can be a substantial risk that it could lose value (potentially all value) as a result of selling or holding the Reward. Bitpanda may substitute a Reward (or any component of it) with an alternative of equal or greater value where necessary, and no cash alternative is available except where Bitpanda determines, in its sole discretion, that a cash alternative is necessary due to legal, regulatory, or operational constraints. Bitpanda will distribute Rewards on a monthly basis, on the first Tuesday of each calendar month following the end of the Promotion Period, subject to Participants maintaining their Commitment Period obligations. The transfer may be delayed and Bitpanda shall not be liable for any losses arising out of or in connection with a late transfer (e.g. losses due to price changes). The Rewards will be credited directly to the Reward Recipients’ respective Bitpanda Broker Wallet in EURCV. Bitpanda assumes no responsibility for undeliverable emails. Only Bitpanda Clients who (i) meet all the requirements described in Section 3 and (ii) were not, for whatever reason, disqualified by Bitpanda in accordance with Section 5 are eligible. Participants who are declared Reward Recipients in accordance with this section will be notified accordingly via email to the email address they have stated in their Bitpanda Client Account. Bitpanda assumes no responsibility for undeliverable emails. All potential Reward Recipients are subject to verification by Bitpanda. 5. Disqualification Bitpanda reserves the right to disqualify a Participant it suspects or finds (i) to have tampered with the entry process or the operation of the Promotion, (ii) to be acting in collusion with other Participants aimed at manipulating or disrupting the Promotion, (iii) to be acting in violation of these Terms, (iv) or in breach of any other applicable terms and conditions of Bitpanda, its subsidiaries, or (v) to have provided inaccurate information. Disqualified Participants will not be entitled to become a Reward Recipient or win any other Reward under this Promotion. Any attempt by a Participant to deliberately undermine the legitimate operation of this Promotion is a violation of laws, and should such an attempt be made, Bitpanda reserves the right to seek damages from any such Bitpanda Client or individual. Bitpanda is not responsible for the accuracy of the data you provide and may disqualify a Participant if the email address of the Bitpanda Client is not valid. 6. Bitpanda’s liability To the extent permitted by law, in no event shall Bitpanda be liable for any direct or indirect loss arising out of or in connection with the Promotion.  Bitpanda reserves the right, without any prior notice or compensation to you, to suspend, cancel, postpone or modify the Promotion, at any time, for any reason whatsoever. You do not have any legal claim against Bitpanda arising out of or in connection with this Promotion. If, due to a technical, system, or human error, any assets, Reward, or benefits are credited in error or in excess of the applicable Promotion, Bitpanda reserves the right to correct such error and reclaim, deduct, or reverse the affected assets. Affected Participants are not entitled to retain assets, Reward or benefits granted in error. Bitpanda may take reasonable measures to resolve the issue. 7. Data Protection and Taxes All data processing at Bitpanda in relation to this Promotion is carried out on the basis of the contractual obligation and legitimate interest in accordance with Article 6 Paragraph 1 Letters b and f of the General Data Protection Regulation 2016/679 (“GDPR”) for the purpose of establishing the legal relationship with the Participant and for the subsequent implementation and processing of the Promotion. (c) during the Promotion Period, transfer to the Participant’s Wallet on the Bitpanda Platform holdings of crypto-assets, which were existing before the commencement of the Promotion Period, from an account held with an Eligible Third-Party Platform in the Participant's name (each, a "Transfer"), (d)  accept the Terms. The following natural or legal persons are not eligible to enter the Promotion:  (a) persons performing market making services or any similar services as well as institutional customers, (b) Bitpanda Enterprise users, (c) employees and the immediate family members of such employees of Bitpanda or its affiliated companies, parent companies, subsidiaries, participating promotional partners, advertising agencies, and any company involved in the creation, production, or fulfilment of the Promotion. Each euro value of the crypto-asset holding transferred during the Promotion Period will grant the participant one (1) entry into the Promotion, up to a maximum of 4.000.000.000 additional entries per Participant. Further, Participants may enter with [ten (10) entries] into the Promotion by accessing and completing the entry form available at [https://form.fillout.com/t/55U8NvHMgQus] (the "Entry Form"). No purchase or Transfer is necessary to enter the Promotion. However, the eligibility requirements and Transfer-based entry conditions as set out above continue to apply. For clarification: Only the value of a participant’s first qualifying transfer completed during the promotion period will be taken into account when calculating the reward. For the purposes of this Promotion, a Transfer will qualify only if it is made from a third-party crypto-asset exchange, broker, custodian, or other crypto-asset service provider that Bitpanda has identified as being affected by changes to the availability or continuity of crypto-asset services in connection with Regulation (EU) 2023/1114 (each, an "Eligible Third-Party Platform"). Transfers from platforms that are not Eligible Third-Party Platforms, i.e. transfers from third-party platforms that are not affected by such changes, will not qualify for this Promotion.  Further, transfers from any platform operated by a Bitpanda Group entity (including Bitpanda Broker UK Limited and Bitpanda Asset Management GmbH) and transfers from self-hosted or private wallets will not be a Transfer and will not qualify for this Promotion.  4. Reward, Winner Selection and Notification After the Promotion Period has ended, one (1) Participant who, during the Promotion Period, (i) meets the eligibility criteria outlined in Section 3 and (ii) was not, for whatever reason, disqualified by Bitpanda, will be drawn at random until one unique Participant is selected and receive a Reward amounting to 3 Bitcoin (3 BTC) (the “Reward”). The drawn Participant is hereinafter referred to as the “Winner”.  Only Participants who (i) meet all the requirements described in section 3 and (ii) were not, for whatever reason, disqualified by Bitpanda in accordance with section 5 are eligible to be selected as Winner. The Reward will be credited directly to the Winner’s wallet on the Bitpanda Platform.  No substitution or cash equivalent of the Reward, or any portion thereof, is permitted.  The value of crypto-assets is subject to change, and there can be a substantial risk that it could lose value (potentially all value) as a result of buying, selling, or holding the Reward.  Bitpanda will strive to transfer the Reward within 30 days after the end of the Promotion Period. The transfer may be delayed and Bitpanda shall not be liable for any losses arising out of or in connection with a late transfer (e.g. losses due to price changes). Bitpanda reserves the right to substitute a Reward, or any part thereof, with an item of equal or greater value if there are objective reasons to do so. The relevant Participant will be notified via email to the email address they have stated in their Bitpanda Client Account about the payout of the Reward. Bitpanda assumes no responsibility for undeliverable emails.  All Participants are subject to verification by Bitpanda.  In the event a qualified Participant/Winner cannot be contacted or fails to respond for a period of 5 business days from the notification or otherwise refuses the Reward, the relevant qualified Participant/Winner will be disqualified without further notice and an alternate Winner may be selected. 5. Disqualification Bitpanda reserves the right to disqualify a Participant it suspects or finds (i) to have tampered with the entry process or the operation of the Promotion, (ii) to be acting in collusion with other Participants aimed at manipulating or disrupting the Promotion, (iii) to be acting in violation of these Terms, (iv) or in breach of any other applicable terms and conditions of Bitpanda, its subsidiaries, or (v) to have provided inaccurate information.
